1. Acceptance of Terms
By accessing the site, submitting an inquiry, receiving a sample, or using a service, you agree to these Terms. If you do not agree, do not use the services.
2. Eligibility and Authority
You must be legally capable of entering into a binding agreement. If you use the services for an organization, you represent that you have authority to bind that organization.
3. Services
We may provide one or more of the following:
- Limited samples for evaluating schema, fields, and suitability.
- One-time datasets delivered in CSV, Excel, JSON, or another agreed format.
- Daily, weekly, monthly, or other recurring data updates.
- API access and related technical support.
- Custom data services scoped by platform, market, category, shop, keyword, time range, or field.
The confirmed order defines the actual scope, fields, volume, history, refresh frequency, delivery method, and service period.
4. Orders, Acceptance, and Delivery
- Pricing may depend on platform, market, fields, volume, historical depth, refresh frequency, and delivery method.
- You are responsible for reviewing samples, field definitions, and metric methodology before confirming an order.
- Delivery may occur by email, cloud storage, an agreed destination, or API.
- Delays caused by incomplete customer instructions, credentials, storage details, or approvals do not constitute our breach.
5. Accounts and API Credentials
If a service includes an account, access key, or API credential, you must protect it and limit access to authorized personnel. You may not share or resell credentials, bypass usage limits, or access systems or data outside your authorization. Notify us promptly of suspected compromise.
6. Acceptable Use
You may not use the services to:
- Collect, identify, or trade non-public personal information, private user information, or internal platform data.
- Engage in fraud, harassment, discrimination, infringement, unlawful surveillance, or circumvention of security controls.
- Resell, republish, or expose a complete dataset or API without written authorization.
- Disrupt, attack, overload, scrape, reverse engineer, or probe our systems beyond authorized use.
- Make commission, employment, credit, law-enforcement, or other high-impact decisions about individuals where accuracy and due process are legally significant.
You are responsible for determining whether your intended use complies with applicable law, contractual restrictions, and third-party platform terms.
7. Data Sources and Accuracy
Our data is derived from publicly available commerce pages and may be collected, cleaned, deduplicated, estimated, or structured. Our services are not intended to include private user information or non-public platform data.
Public pages change. Sales, GMV, ranking, inventory, and similar metrics may be estimates or snapshots and can differ from platform back-office data or actual business results. Unless expressly agreed in writing, we do not guarantee that data is complete, continuously real-time, or error-free.
8. Confidentiality and Customer Materials
Each party will protect information identified as confidential, or that reasonably should be understood as confidential, using appropriate care. Customer-provided scopes, mappings, storage details, credentials, and internal materials will be used only as necessary to perform the authorized service, except as required by law.
9. Intellectual Property and License
Our websites, branding, documentation, schemas, cleaning methods, software, and service implementation remain ours or our licensors'. Your license to use delivered data is defined by the applicable order. Platform names and trademarks identify the source platform only; Nopeme Data is not affiliated with, endorsed by, or sponsored by TikTok, Shopee, or their affiliates.
10. Fees, Taxes, and Refunds
Fees, payment milestones, taxes, acceptance periods, and refund terms are defined in the applicable quotation or order. Because digital datasets cannot ordinarily be recalled after delivery, refund eligibility may be limited. A quality claim must be raised within the agreed acceptance period with reproducible details so we can evaluate correction, replacement, or another remedy.
11. Third-Party Services
Our services may depend on platforms, networks, hosting, storage, communication tools, and other third parties. We are not responsible for third-party services, policies, content, outages, or changes beyond our reasonable control.
12. Legal, Export, and Sanctions Compliance
You must comply with applicable U.S. federal and state laws, export-control laws, sanctions rules, and the laws applicable to your use. You represent that you are not prohibited from receiving the services under applicable trade restrictions.
13. Service Availability and Changes
Platform structures, access policies, networks, and third-party services may affect data coverage, refresh timing, or API availability. We will use commercially reasonable efforts to restore service or provide an alternative delivery method, but we do not promise uninterrupted availability.
14. Disclaimers
Except for express written commitments and to the maximum extent permitted by law, the services are provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Some jurisdictions do not allow certain disclaimers, so portions of this section may not apply to you.
15. Limitation of Liability
To the maximum extent permitted by law, Nopeme Data will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost revenue, lost data, or business interruption arising from the services or third-party platform changes.
Our aggregate liability arising from a service will not exceed the amount you paid for the specific order giving rise to the claim. This limitation does not apply where liability cannot lawfully be excluded or limited.
16. Indemnification
You will defend and indemnify Nopeme Data against third-party claims, damages, and reasonable costs arising from your unlawful use, violation of these Terms, infringement of third-party rights, or use outside the agreed scope, except to the extent caused by our breach or willful misconduct.
17. Suspension and Termination
We may suspend or terminate access for nonpayment, credential abuse, unlawful use, security risk, or material breach, with notice where reasonably practicable. Termination does not affect accrued payment obligations or provisions that by nature should survive, including confidentiality, intellectual property, disclaimers, and liability terms.
18. Changes to These Terms
We may update these Terms as our services change. We will post the revised version and effective date. Confirmed orders ordinarily remain governed by the terms in effect when accepted unless the parties agree otherwise.
19. Governing Terms and Disputes
An applicable signed agreement or order form controls the governing law, venue, and dispute process. If no written agreement specifies those terms, applicable U.S. federal law and applicable state law will govern, without regard to conflict-of-law principles, and the parties will first attempt in good faith to resolve a dispute before filing in a court of competent jurisdiction in the United States.
